The Rocket Science Group LLC d/b/a MailChimp is certified under the Privacy Shield Agreement, providing a guarantee of compliance with European data protection standards (PrivacyShield). The delivery service provider is used based on our legitimate interests per Art. 6 (1) lit. f GDPR and an order processing agreement per Art. 28 (3) sentence 1 GDPR.
The delivery service provider may use the data of recipients in pseudonymous form, i.e., without being assigned to a user, to optimize or improve their services, e.g., for technical optimization of the delivery and presentation of the newsletters or for statistical purposes. Rocky Beach GmbH reserves the right to amend these GTC at any time. All changes become effective upon the publication of the new GTC on the website. The applicable date for the validity of the GTC is the date of acceptance of our offer.
Please read these GTC carefully before accepting an offer. By accepting the offer, you agree to the terms below as well as our Privacy Policy and confirm that you are authorized to enter into legally binding contracts and are at least 18 years old.
Under the Promance.ch brand, Rocky Beach GmbH provides services in the production and coordination of professional voice recordings for all types of content (e.g., advertisements, explainer videos, announcements, on-hold messages, audiobooks, etc.).
Voice recordings intended for use in content not actively promoted with a media budget can be ordered digitally via the online ordering process. Customers first select the desired voice artist and enter their text, including other relevant briefing details. Exactly and exclusively the texts submitted under the "Speech Text" section in step 2 will be spoken. Notes added using the comment function are excluded from this rule.
If the order involves voice recordings for content promoted with a media budget, an individual offer and customer contact are required.
Rocky Beach GmbH reserves the right to change services at any time.
Upon full payment of Promance.ch's service within the agreed payment period, the customer obtains usage rights for the respective recording, defined as follows:
For voice recordings used in content without a media budget, an unlimited usage right in terms of time and location applies. Examples include on-hold messages, explainer videos, training videos, announcements, etc. All voice recordings in this category can be ordered via the Promance.ch online order form.
For voice recordings used in content with a media budget, individually defined usage rights apply. Examples include TV commercials, radio ads, or online campaigns. In such cases, orders can only be placed via general contact channels. After customer contact, Promance.ch creates an individual offer based on the selected voice artist, the intended use of the text, and other relevant briefing criteria. This offer also specifies the usage rights.
If the intended use changes from "voice recordings for content without a media budget" to "voice recordings for content with a media budget," the customer is obligated to contact Promance.ch before the first active promotion and/or broadcast of the content (e.g., the start of an online, TV, or radio campaign). The provider will prepare an appropriate offer, including defined usage rights, within a reasonable time frame.
If the use changes from "voice recordings for content without a media budget" to "voice recordings for content with a media budget" and the customer does not actively contact Promance.ch despite the change, this constitutes a violation of these usage rights and general terms and conditions. In such cases, four times the original surcharge for the new usage rights will be due.
In all cases, the voice artist engaged by the provider retains the copyright to the created voice recording.
The customer is prohibited from using the provided voice recordings to generate or train artificial intelligence (AI) or synthetic voices. This restriction includes using the recordings for machine learning models, speech synthesis, deepfakes, or other technologies aimed at mimicking or replicating the human voice. Any attempt to use the recordings for such purposes will be considered a breach of these GTC and may result in the immediate termination of the contract and the initiation of legal action. In the event of a breach, Promance reserves the right to revoke all previously granted usage rights to the voice-over recordings and claim damages. The customer is required to immediately delete all received recordings if these conditions are violated.
The customer can place a binding order for the defined voice recording via our online order process. During the process, the customer can configure their order (choose the voice artist, enter the text to be spoken, etc.). This does not yet constitute a binding order. An order becomes binding only when the customer clicks the "Complete Order" button on the order page at the end of the ordering process.
Before submitting the order, the customer can modify and review their entries at any time, recognize input errors, and correct them if necessary before the final submission of the order.
An order confirmation is sent to the customer immediately and automatically by email. This confirmation email contains the order details and our GTC, which the customer accepted during the ordering process. The confirmation email serves only as information that we have received the order. No purchase contract is formed through the automatic order confirmation. By submitting the order, the customer confirms that they have read and unconditionally agree to the GTC. We recommend printing the GTC or saving them on your computer for documentation purposes.
After the customer submits a binding order, Rocky Beach GmbH reserves the right to either accept the order at its discretion or decline it by sending a corresponding notification via email without assuming liability to the customer or third parties. Any advance payment already made will be refunded in the event of order cancellation. Reasons for rejecting an order include, for example, unrealizable voice recordings, negative credit checks, or an assumption that the customer is acting against these GTC, individual agreements, or in fraudulent or other criminal activities.
Upon acceptance of the order, a binding purchase contract with the customer is established. This acceptance occurs through the provision of the digital product for download.
The commercial distribution or resale of our products is strictly prohibited.
Rocky Beach GmbH is obligated to perform the agreed services diligently, conscientiously, and faithfully.
Rocky Beach GmbH undertakes to professionally record the texts provided by the client in the desired language and ensure that the voice recording is completed without omissions, additions, or any other content alterations.
Rocky Beach GmbH provides its services to the best of its knowledge and practical abilities. The company is authorized to take all actions necessary for the proper execution of the assignment.
Rocky Beach GmbH provides its services based on the information submitted by the customer via the order form. The customer is solely responsible for the accuracy and completeness of this information.
Any delivery dates indicated in the order for the execution of the agreed services are non-binding. Rocky Beach GmbH reserves the right to cancel or reschedule a date due to unforeseen circumstances without incurring costs or compensation liabilities.
If the customer has booked a paid express surcharge, and this service cannot be met by Rocky Beach GmbH for unforeseen reasons, the service will be rendered at the next feasible time. In such cases, the costs for the express service will be refunded to the customer or not charged.
Rocky Beach GmbH will accommodate customer requests for changes in service delivery to the extent feasible. If implementing the requested changes impacts the contractual conditions, particularly the effort required by Rocky Beach GmbH or the schedule, the parties will agree on an appropriate adjustment to the contractual conditions, including an increase in compensation and a postponement of any agreed deadlines.
Rocky Beach GmbH is entitled to engage third parties at its discretion to fulfill the contract. In such cases, Rocky Beach GmbH ensures that the contractual obligations of Rocky Beach GmbH are met by the third party.
Compensation is generally based on the price rates communicated on the website or in the offer. Rocky Beach GmbH reserves the right to change its price rates at any time. Compensation will be calculated based on the price rates offered at the time the offer was created.
Rocky Beach GmbH will issue an invoice for the services provided after the completion of the service delivery. The invoice will include a detailed breakdown of the date of the provided services. Rocky Beach GmbH is entitled—particularly for larger projects and/or first-time orders—to require advance payments for services to be provided before the commencement of service delivery. This applies especially to individual offerings and is detailed in each respective offer. Compensation is charged in CHF and is due for payment 30 days after the invoice date.
Rocky Beach GmbH allows customers to waive payment for the service in the event of justified dissatisfaction with the delivered recording. This concession is granted on the condition that the delivered recording is not used by the customer. If it is determined that the recording has been used contrary to this agreement, Rocky Beach GmbH reserves the right to retrospectively invoice the originally provided service.
For orders of significant scope, Rocky Beach GmbH reserves the right to first create a test recording (e.g., the initial sentences of the assignment text) and submit it to the customer for evaluation. The continuation and completion of the overall order depend on the customer's approval of this test recording. With the customer's approval of the test recording and the subsequent completion of the entire order by Rocky Beach GmbH, the option to use the service without payment is no longer available. Approval of the test recording is considered acceptance of the quality and execution conditions and excludes any subsequent claims for non-payment under the condition of non-use of the recording.
All objections and requests for non-payment based on the premise of non-use of the recording will be carefully reviewed by Rocky Beach GmbH in good faith. The request for non-payment must be submitted by the customer in writing via email to team@promance.ch within 14 days of delivery of the recording.
Rocky Beach GmbH is obligated to maintain strict confidentiality with third parties regarding all business, operational, or technical information and processes entrusted to or otherwise made known to it by the customer, which are of a confidential nature. This obligation remains in effect indefinitely, even after the termination of the contract.
Rocky Beach GmbH is obligated to carefully retain all documents of any kind received from the client (certificates, contracts, notes, correspondence, etc., regardless of whether in original, copy, or draft form) and to use these solely in direct connection with the execution of the contract or as required by legal obligations.
To the extent that the services are defective, the customer’s claim, insofar as legally permissible, is limited at Rocky Beach GmbH’s discretion to rectification, reduction, or replacement. Defects include, for example, incorrectly reproduced texts. A defect does not include cases where the interpretation of the text does not meet the customer’s preference.
Rocky Beach GmbH guarantees the availability of audio files until the start of the download. From this point onward, the customer is responsible for ensuring the availability of the data and transferring it to their storage media. Rocky Beach GmbH assumes no liability for data loss after the download has started.
Rocky Beach GmbH will perform the agreed services with due diligence. To the extent permitted by law, any further liability arising from the contract or other legal grounds is expressly excluded.
In the event of force majeure, i.e., the occurrence of events beyond the control of the affected party (e.g., official orders and measures, labor disputes, natural disasters, epidemics, and pandemics) that significantly impair or prevent the fulfillment of the service, the affected party must notify the other party in writing as soon as possible of the nature of the event and its expected duration. In such cases, the affected party is entitled to defer the fulfillment of their obligations for the duration of the hindrance and a reasonable ramp-up period but must resume performance promptly once the relevant event has ceased. Both parties will make good-faith efforts to minimize the impacts of a force majeure event as much as possible.
The contract ends with the fulfillment of the agreed services. Unless otherwise agreed, the order cannot be canceled after submission via the order form. The order may be terminated with immediate effect for an important reason. An important reason is any circumstance that, in good faith, makes it unreasonable for the terminating party to adhere to the contract, such as the initiation of bankruptcy, insolvency, or similar proceedings against the customer. Termination requires written form to be effective.
Rocky Beach GmbH collects and processes only personal data necessary for the execution of the contract concluded with the customer in compliance with legal provisions, particularly adhering to applicable data protection laws. Further information regarding the processing of personal data, your rights, and related questions can be found in our Privacy Policy, which forms an integral part of these General Terms and Conditions.
Should any provision of these General Terms and Conditions be or become unlawful, invalid, or unenforceable for any reason, this shall not affect the validity of the remaining provisions. Unless otherwise agreed, the invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the provision and the intent of the parties at the time of contract conclusion. The same applies to any gaps in these General Terms and Conditions.
These General Terms and Conditions, the contractual relationships based on them, and any disputes are governed exclusively by substantive Swiss law. For natural persons, the place of jurisdiction is the registered office of Rocky Beach GmbH or the customer’s place of residence. For legal entities, the exclusive place of jurisdiction is the registered office of Rocky Beach GmbH.
